HEYLUX SUBCONTROCTORS TERMS & CONDITIONS

1. The subcontractor shall provide all necessary equipment, vehicles, and personnel to fulfil the services outlined in the contract.

2. The subcontractor shall ensure that all vehicles and equipment used in the course of providing services to HeyLux chauffeur are properly maintained and meet all relevant safety and legal requirements.

3. The subcontractor shall comply with all relevant laws, regulations, and industry standards while providing services to HeyLux chauffeur.

5. The subcontractor shall not disclose any confidential information about HeyLux chauffeur or its clients to any third party without the prior written consent of HeyLux chauffeur.

6. The subcontractor shall not solicit or accept business from any client of HeyLux chauffeur for a period of 12 months after the termination of this contract.

7. The subcontractor will be remunerated based on the agreement made between the subcontractor and HeyLux Chauffeur and will be paid within 14 days of the invoice being submitted

8. The subcontractor acknowledges that the terms and conditions of the contract may be amended by HeyLux Chauffeur at any time

9. This contract shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.

10. This contract shall be governed by and construed in accordance with the laws of England and Wales.

12. The subcontractor shall provide HeyLux chauffeur with proof of insurance, including liability, automobile, and worker's compensation insurance, prior to the start of any services.

13. The subcontractor shall submit detailed invoices to HeyLux chauffeur on a weekly or monthly basis, as agreed upon by both parties.

14. The subcontractor shall be responsible for ensuring that all employees, agents, and sub-contractors adhere to the terms of this contract, as well as any additional rules and regulations set forth by HeyLux chauffeur.

15. The subcontractor shall be responsible for maintaining accurate records of all services provided to HeyLux chauffeur, including but not limited to, client information, service dates, and hours worked.

16. The subcontractor shall be solely responsible for any and all taxes, including but not limited to, sales and use taxes, self-employment taxes, and workers compensation taxes, arising from their services to HeyLux chauffeur.

17. The subcontractor shall be responsible for obtaining any necessary permits, licenses, or certifications required to perform their services to HeyLux chauffeur.

18. The subcontractor shall be responsible for providing their own uniforms and equipment, but HeyLux chauffeur will provide the subcontractor with a vehicle decal and the uniforms will be to the standard of HeyLux chauffeur

19. This contract is the entire agreement of the parties and supersedes all prior oral or written agreements and understandings relating to the subject matter of this contract.

20. Any disputes arising from this contract will be resolved through binding arbitration.

21. Any waiver of any provision of this contract by HeyLux chauffeur shall not be deemed a continuing waiver of such provision or a waiver of any other provision of this contract.

22. The subcontractor shall provide high-quality services in accordance with the standards set by HeyLux Chauffeur, and shall take all necessary steps to ensure customer satisfaction.

23. The subcontractor shall promptly address any complaints or issues raised by customers or HeyLux chauffeur, and shall take all necessary steps to resolve any issues to the satisfaction of all parties involved.

24. The subcontractor shall provide a refund or credit for any services that do not meet the agreed-upon standards, if requested by HeyLux chauffeur or the customer.

25. The subcontractor shall provide HeyLux chauffeur with any reviews or feedback from customers regarding the services provided, and shall take all necessary steps to address any negative feedback or reviews.

26. The subcontractor shall provide an emergency contact number to HeyLux Chauffeur, and shall be available to provide assistance outside of working hours, if needed.

27. The subcontractor shall provide HeyLux chauffeur with regular reports on the services provided, including but not limited to, the number of clients serviced, the number of hours worked, and any other relevant data as requested by HeyLux chauffeur.

28. The subcontractor shall be able to provide evidence of all the necessary licenses, certifications, and insurance coverage required by HeyLux chauffeur.

29. The subcontractor shall be responsible for providing an accurate and realistic estimate of the time required to complete a service, and shall inform HeyLux chauffeur of any delays or changes in schedule as soon as possible.

30. The subcontractor shall be responsible for providing a detailed invoice for the service provided, including a description of the service, the time and date of the service, and the cost of the service.

31. The subcontractor shall be responsible for providing the service in accordance with any additional terms and conditions specified in the contract between HeyLux chauffeur and the customer.
